Company Ownership (Default Rule) Unless expressly agreed otherwise in writing: All intellectual property and work product that is:
  • created during working hours, or
  • created using Company resources, or
  • created as part of Company duties, or
  • related to the Company’s business, products, services, or portfolio companies,
shall be the exclusive property of the Company. 4.2 Work Created Outside Working Hours Work created outside working hours, on personal time, or using personal equipment shall still be deemed Company property if it:
  • relates to Company or portfolio business,
  • arises from knowledge, access, or exposure gained through employment,
  • builds upon or derives from Company or portfolio work,
could reasonably be anticipated as part of the Company’s business or roadmap. 4.3 Waiver of Rights To the extent permitted by law, employees:
  • irrevocably assign all rights, title, and interest in such IP to the Company,
  • waive any moral rights or claims of authorship or ownership,
  • agree to execute documents necessary to perfect or enforce Company ownership.
5. Inventions and Disclosure Obligation 5.1 Mandatory Disclosure Employees must promptly disclose to HR:
  • any invention, improvement, idea, framework, or concept
  • conceived, developed, or reduced to practice during employment
that relates to Company or portfolio activities. 5.2 Disclosure Format Disclosure must be made in writing and include:
  • description of the invention or work,
  • date of creation,
  • collaborators (if any),
  • relationship to Company or portfolio work.
Failure to disclose may be treated as misconduct.
